These Terms of Service govern access to and use of the services, software, APIs, managed infrastructure and related offerings provided by Atyourtime Technology Limited ("Atyourtime", "we", "our", "us").
By accessing or using our website, SaaS platform, Managed Services, white-label modules, Agent Growth Engine, or any related services, you agree to be bound by these Terms.
If you do not agree, you must not use our services.

2. Scope of Services
Atyourtime provides enterprise delivery infrastructure including but not limited to:
- Tag & Scan verification technology
- SaaS-based delivery management systems
- White-label enterprise modules
- Custom solution provisioning
- Managed Services (MSP)
- Agent Growth Engine and commission infrastructure
- API integrations and technical resource placement
Specific services may be governed by separate commercial agreements, statements of work, or service-level agreements.
3. Eligibility
Our services are intended for business and commercial use only.
By using our services, you represent that:
- You are acting on behalf of a business entity
- You have authority to bind that entity
- You are legally capable of entering into binding contracts
4. Account Registration and Security
Where access requires an account:
- You must provide accurate information
- You are responsible for maintaining confidentiality of credentials
- You must notify us of unauthorised access
We reserve the right to suspend or terminate accounts that breach these Terms.
5. Intellectual Property
All intellectual property rights in:
- Tag & Scan technology
- Platform architecture
- APIs
- White-label modules
- Agent Growth Engine
- Branding and documentation
remain the exclusive property of Atyourtime Technology Limited. No rights are transferred except for limited, revocable, non-exclusive usage rights under applicable agreements.
You may not:
- Reverse engineer
- Copy
- Resell without written authorisation
- Modify proprietary code
- Create derivative works without permission
6. Managed Services (MSP)
Where Managed Services are engaged:
- Service scope is defined in writing
- SLAs apply only where explicitly agreed
- We may perform monitoring, optimisation and integration tasks
- Clients must provide necessary system access and cooperation
We are not responsible for downtime caused by third-party providers, external integrations, or force majeure events.
7. Agent Growth Engine
Where the Agent Growth Engine is used:
- Commission structures are governed by separate agreements
- Referral tracking relies on submitted data accuracy
- We reserve the right to audit referral activity
- Fraudulent or duplicate referrals may result in forfeiture of commissions
Atyourtime may suspend or terminate agent access in cases of misuse, misrepresentation or breach.
8. Client Responsibilities
You agree to:
- Use services in compliance with applicable laws
- Maintain necessary regulatory approvals
- Ensure data accuracy
- Not use services for unlawful activity
- Not interfere with platform integrity
You are responsible for content, integrations and data submitted through your systems.
9. Data Protection and Privacy
We process data in accordance with UK GDPR and applicable data protection laws.
Where personal data is processed:
- We act as a data processor where appropriate
- Data processing agreements may apply
- Clients remain responsible as data controllers for their end users
Our Privacy Policy forms part of these Terms.
10. Payment and Fees
Fees are governed by commercial agreements or published pricing.
Unless otherwise agreed:
- Fees are non-refundable
- Late payments may incur interest
- Access may be suspended for non-payment
11. Service Availability
We aim to maintain high availability but do not guarantee uninterrupted access. Maintenance, upgrades or unforeseen technical issues may temporarily affect service.
Enterprise SLAs apply only where expressly agreed in writing.
12. Limitation of Liability
To the fullest extent permitted by law, Atyourtime shall not be liable for:
- Indirect or consequential loss
- Loss of profits or revenue
- Business interruption
- Loss of data beyond agreed safeguards
Total liability under these Terms shall not exceed the fees paid in the preceding 12 months unless otherwise agreed.
Nothing excludes liability for fraud, death or personal injury caused by negligence, or liabilities that cannot legally be limited.
13. Indemnity
You agree to indemnify and hold Atyourtime harmless against claims arising from:
- Your misuse of the platform
- Breach of these Terms
- Infringement of third-party rights
- Regulatory non-compliance by your organisation
14. Suspension and Termination
We may suspend or terminate access if:
- You breach these Terms
- You engage in fraudulent activity
- You misuse intellectual property
- You fail to pay fees
Termination does not remove accrued payment obligations.
15. Confidentiality
Both parties agree to protect confidential information and not disclose it without written consent, except where legally required.
16. Amendments
We may update these Terms periodically.
- Material changes will be notified via website notice or direct communication
- Continued use after updates constitutes acceptance
17. Governing Law
These Terms are governed by the laws of England and Wales. Disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
